Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClawPanel platform, website (clawpanel.app), and related services (collectively, the "Service") provided by Zeug Lab ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, signing up for the waitlist, or otherwise accessing the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ClawPanel is a personal AI agent control plane that enables users to monitor, govern, and orchestrate AI agents. The Service includes, but is not limited to:

• A web-based dashboard for real-time agent monitoring and control;
• Kill switches and safety controls for running AI agents;
• Cost tracking and budget management tools;
• Multi-agent orchestration and workflow automation;
• Data storage management (via user-linked cloud accounts or managed storage);
• Integration with third-party AI providers (via user-provided API keys or managed provider accounts).

3. Accounts and Registration

3.1 Account Creation

You may be required to create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

4. Early Access Program

The Service is currently offered under an early access program with the following terms:

• Early access is limited to the first 50 registered users;
• The Service is provided free of charge during the early access period;
• Early access users may experience service interruptions, bugs, and incomplete features;
• We reserve the right to modify, suspend, or discontinue any aspect of the early access program at any time;
• Early access does not guarantee perpetual free access — pricing may change after the early access period.

5. AI Provider Keys and Payment

5.1 Bring Your Own Keys

You may connect the Service with your own AI provider API keys (e.g., OpenAI, Anthropic, Google). You are solely responsible for compliance with the terms and conditions of those third-party providers. Your API keys are encrypted and used only to execute tasks on your behalf.

5.2 Managed Provider Account

Alternatively, you may add a payment method and use our managed provider account. In this case, AI tokens are charged at cost with no markup. You authorize us to charge your payment method for actual token usage. Detailed usage reports will be available through your dashboard.

5.3 No Refunds on Usage

Token usage charges (whether through your own keys or our managed account) are non-refundable, as they represent consumed compute resources from third-party AI providers.

6. User Data and Storage

6.1 OAuth-Linked Storage

If you authenticate via Google or GitHub, your agent data may be stored in your linked cloud storage (e.g., Google Drive, GitHub). We act as a processor, not a controller, of this data. You retain full ownership and control.

6.2 Managed Storage

If you opt for managed storage, we provision isolated, encrypted storage for your account. Your data is not co-mingled with data from other users. You retain ownership of your data and may request export or deletion at any time.

6.3 Data Deletion

Upon account termination or at your request, we will delete your data from our managed storage within 30 days, except where retention is required by law. Data stored in your linked cloud accounts (Google Drive, GitHub) remains under your control.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights;
• Generate, distribute, or facilitate harmful, abusive, harassing, or illegal content;
• Attempt to gain unauthorized access to other users' accounts or data;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service for any purpose that is competitive with the Service;
• Impersonate any person or entity, or misrepresent your affiliation;
• Use automated means (bots, scrapers) to access the Service without our written consent;
• Circumvent any security features, rate limits, or usage restrictions.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is owned by Zeug Lab and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand assets without our written permission.

8.2 Your Content

You retain ownership of all content, data, and outputs generated through your use of the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely as necessary to provide the Service.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

We do not warrant that:

• The Service will be uninterrupted, error-free, or free of harmful components;
• AI agent outputs will be accurate, complete, or suitable for any particular purpose;
• Any defects in the Service will be corrected;
• The Service will meet your specific requirements.

You acknowledge that AI agents may produce unexpected, inaccurate, or harmful outputs, and you assume all risk associated with the use of AI-generated content and automated agent actions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZEUG LAB, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Zeug Lab and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your violation of these Terms;
• Your violation of any third-party rights;
• Any content or data you submit or process through the Service;
• Actions taken by AI agents operating under your account.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you should discontinue use of the Service.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zeug Lab regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of nature, war, terrorism, public health emergencies, government actions, or failures of third-party service providers.
